1. Agreement and eligibility
These Terms of Service form an agreement between you and Circlst, operated by Marlon Dizon in the Philippines. By creating an account, accepting an invitation, or otherwise using Circlst, you agree to these Terms and the Privacy Policy.
You must be at least 18 years old and capable of entering into this agreement under applicable law. Circlst is not available to anyone under 18. If you use Circlst for an organization or another person, you represent that you are authorized to do so.
2. The Circlst service
Circlst provides collaborative budgets, expense records, debts, sales, income, to-do lists, shopping lists, inventory lists, custom lists, assignments, reminders, recurring items, files, activity history, and offline synchronization. Features may be added, changed, limited, or removed as the service develops.
Circlst is an organizational tool. It does not hold, transfer, lend, invest, or settle money and is not a bank, wallet, accounting firm, financial adviser, or payment processor.
3. Accounts and security
- Provide accurate account information and keep it reasonably current.
- Keep passwords, recovery links, authentication codes, and devices secure.
- Do not share an account or impersonate another person.
- Notify us promptly if you believe your account has been compromised.
- You are responsible for activity performed through your account unless applicable law provides otherwise.
You may sign in using email and password or an available third-party provider such as Google. Your use of a third-party sign-in provider is also governed by that provider’s terms.
5. Your content and permissions
You retain ownership of content you submit. You grant Circlst a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, and back up that content solely as necessary to operate, secure, and improve the service and make shared content available to authorized members. This license ends when the content is deleted from active systems, subject to reasonable backup and legal-retention periods.
You represent that you have the rights and permissions necessary to upload and share your content. Do not upload confidential, copyrighted, personal, or regulated information unless you are permitted to do so and the intended list members may lawfully receive it.
Feedback and suggestions may be used to improve Circlst without compensation or an obligation to implement them.
6. Acceptable use
You may not use Circlst to:
- Break the law, violate another person’s rights, or facilitate fraud, harassment, threats, or abuse.
- Access, probe, scrape, or interfere with accounts, lists, systems, or data without authorization.
- Upload malware, destructive code, unlawful material, or content that infringes intellectual-property or privacy rights.
- Send spam invitations, mislead recipients, or use the service for unsolicited bulk messaging.
- Bypass access controls, usage limits, security protections, or technical restrictions.
- Overload, reverse engineer, resell, or commercially exploit the service except where applicable law expressly permits it.
Circlst may investigate suspected misuse and restrict access when reasonably necessary to protect users, providers, or the service.
7. Budgets, expenses, and financial information
Amounts, balances, totals, debt records, and settlement information are user-supplied convenience calculations. They may be incomplete, delayed, incorrectly entered, or affected by synchronization conflicts and software errors. Verify important figures independently before making a payment or financial decision.
Circlst does not provide financial, accounting, tax, investment, or legal advice. A record marked paid or settled is only an organizational entry and is not proof that funds were transferred.
8. Availability, offline use, and service changes
Circlst aims to provide a reliable service but does not guarantee uninterrupted availability, permanent storage, or error-free synchronization. Maintenance, provider outages, internet problems, browser restrictions, or security events may interrupt access.
Offline changes are stored on your device and synchronized later. If the same information changes elsewhere, you may need to resolve a conflict. Maintain independent copies of information that is essential to you.
Reasonable limits may be applied to lists, items, collaborators, files, storage, messages, or automated activity to keep the service secure and sustainable. Applicable limits will be presented in the product.
9. Leaving Circlst, suspension, and deletion
You may stop using Circlst at any time and may delete your account through Profile & account. Account deletion permanently removes lists you own and removes you from lists owned by others. Transfer ownership or export necessary information before deleting your account.
Circlst may suspend or terminate access for a material or repeated violation of these Terms, a security threat, legal requirement, or conduct that risks harm to another user or the service. When reasonable, notice and an opportunity to correct the issue will be provided.
Provisions that by their nature should survive termination—including ownership, disclaimers, liability limitations, and governing law—will continue to apply.
10. Disclaimers and limitation of liability
To the extent permitted by law, Circlst is provided “as is” and “as available,” without warranties of uninterrupted availability, fitness for a particular purpose, merchantability, non-infringement, or absolute security. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
To the maximum extent permitted by applicable law, Circlst and its operator will not be liable for indirect, incidental, special, consequential, or punitive loss, or for lost profits, opportunities, goodwill, or data arising from use of or inability to use the service. These limitations do not apply where liability cannot legally be limited, including liability arising from fraud, willful misconduct, or other non-excludable obligations.
11. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines, without overriding consumer protections that apply in your place of residence. Before starting formal proceedings, you and Circlst agree to attempt in good faith to resolve a dispute by contacting the other party and allowing a reasonable time for a response.
If a dispute cannot be resolved informally, it may be brought before a court or authority with jurisdiction under applicable law. Nothing here prevents either party from seeking urgent protective relief or using a government complaint process.
12. Changes, severability, and contact
These Terms may be updated to reflect new features, risks, providers, or legal requirements. Material changes will be communicated through the service, email, or another reasonable method. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law; otherwise, renewed consent will be requested.
If one provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. These Terms and the Privacy Policy form the entire agreement regarding your use of Circlst unless separate written terms apply.
Questions about these Terms may be sent to lonpdzon@gmail.com.
